By creating an account with InvoiceFlow or by using the InvoiceFlow platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms form a legally binding agreement between you (or the business you represent) and InvoiceFlow Ltd, a company registered in England and Wales ("InvoiceFlow", "we", "us"). By accepting these Terms, you represent that you have the authority to enter into this agreement on behalf of yourself or your organisation.
To use InvoiceFlow, you must create an account by providing your full name, business name, email address, and a password. You agree to:
You must be at least 18 years old and legally capable of entering into contracts under UK law to register for an account. Accounts may only be used for lawful business purposes.
InvoiceFlow is a subscription-based service. We offer the following plans:
Subscription fees are billed monthly in advance. By providing your payment details, you authorise InvoiceFlow to charge your payment method on a recurring basis. All prices are in British Pounds (GBP) and exclude VAT where applicable. A VAT receipt will be provided where required by law.
If a payment fails, we will notify you and attempt to collect payment again. If payment cannot be collected within 7 days, access to the Service may be suspended until payment is resolved.
When you first sign up for InvoiceFlow, you will receive a 14-day free trial on your chosen plan. During the trial period, your payment card will not be charged. At the end of the trial period, your subscription will automatically convert to a paid plan and your card will be charged the applicable monthly fee.
You may cancel at any time before the end of the trial period to avoid being charged. Cancellation must be made from within the application under Settings › Subscription.
The free trial applies to your first subscription only. If you close your account and reopen it, or if you switch to a different plan, no further free trial period will be provided. Plan changes take effect immediately and are billed immediately — no trial period is associated with any plan change.
You may upgrade your plan at any time from within the application. When you upgrade:
Downgrades to a lower plan will take effect at the start of your next billing cycle. Any features associated with the higher plan remain accessible until that point.
You may cancel your subscription at any time from Settings › Subscription. On cancellation:
We do not offer refunds for subscription fees already paid, except where required by applicable consumer law or where a billing error has occurred on our part. If you believe you have been incorrectly charged, contact billing@invoiceflow.app within 30 days of the charge.
You agree not to use InvoiceFlow to:
We reserve the right to suspend or terminate accounts that violate this acceptable use policy, with or without notice, at our sole discretion.
All intellectual property rights in the InvoiceFlow platform — including the software, design, logos, and content produced by InvoiceFlow — belong to InvoiceFlow Ltd. Nothing in these Terms grants you any ownership over our intellectual property.
You retain full ownership of the content and data you create within the platform, including your invoices, customer records, and business information. By using the Service, you grant us a limited, non-exclusive licence to store, process, and transmit your content solely to the extent necessary to provide the Service.
You are responsible for the accuracy of the data you enter into InvoiceFlow, including invoice amounts, customer details, and VAT calculations. InvoiceFlow is a tool to help you create and manage invoices; it does not provide accounting, legal, or tax advice.
We recommend exporting your data regularly. Exports are available at any time from within the application. Our approach to your data is set out in full in our Privacy Policy.
To the fullest extent permitted by applicable law, InvoiceFlow Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to:
Our total aggregate liability to you for any claim arising from these Terms or your use of the Service shall not exceed the total fees paid by you to InvoiceFlow in the three months preceding the claim.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under English law.
We may modify, suspend, or discontinue parts of the Service at any time. For material changes to these Terms or to your subscription, we will give at least 30 days' notice by email to the address associated with your account. Continued use of the Service after that notice period constitutes acceptance of the updated Terms.
If you do not accept the updated Terms, you may cancel your subscription before the changes take effect and receive a pro-rata refund for any prepaid period beyond that date.
These Terms are governed by the law of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect.
